Terms of Service

Soldello sits between two people: the photographer who subscribes to it, and the agent who receives the work through it. They agree to different things, so these terms keep them apart — particularly on the question every photographer eventually asks, which is who owns the photographs after a client has paid.

The agreement

These terms are between you and Digilux HD LLC, a Florida limited liability company doing business as Soldello. “We”, “us” and “our” mean Digilux HD LLC. Soldello is a trading name, not a separate company.

By creating an account, opening a gallery we have sent you, or otherwise using Soldello, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have the authority to bind it.

Our Privacy Policy forms part of this agreement and describes what we do with personal information.

Who may use Soldello

Two different kinds of people use Soldello, and their rights under these terms are not the same. Read the description that fits you.

  • The photographer. The subscriber. They hold the account, run the workspace, upload the photographs, set their own prices, and decide what their clients receive. Where these terms say “you” without qualification, they mean the photographer.
  • The agent, or client. The photographer’s customer. They receive galleries, listing websites, marketing material and reports, and they may hold a login to the listing portal. Their agreement about price, delivery and what they may do with the photographs is with the photographer, not with us. What these terms give them is the right to use Soldello itself, on the terms set out in Section 7.

You must be at least 18 and legally able to enter a contract. Soldello is a business tool and is not for personal or household use.

Accounts, workspaces and team members

A workspace belongs to the photographer who owns it. You are responsible for everything done under your account, for keeping your password to yourself, and for telling us promptly at support@soldello.com if you think it has been compromised.

You may invite team members and give them roles. What each role can do is set by us, and inviting someone means you are responsible for what they do in your workspace.

Our administrators can enter a workspace to investigate a support request or a suspected breach of these terms. Every such session is recorded in the audit log against the administrator’s own name and expires automatically. We do not enter a workspace to browse it.

Subscription, fees and credits

Soldello is sold as a monthly plan. The plan’s price and what it includes, such as how many listings you can create each month, are shown on the sign-up page before you pay. Accounts opened while Soldello was free during launch stay free until we tell you otherwise: we will email you before any charge is made, and you will be able to close the account instead of paying.

We may change a plan’s price or what it includes. We will email the account holder at least 30 days before the change takes effect, and it applies from your first billing date after that. If you do not want to continue on the new terms, cancel before then and you will not be charged the new price. A price we have promised for a fixed period holds until that period ends.

Where a subscription fee applies, it is billed in advance through Square, it recurs until you cancel, and it is not refundable for a period already begun except where the law requires otherwise. Cancelling stops future billing; it does not refund the current period.

You can change plan, buy extra listings, update your card or cancel at any time under Settings, Plan & billing. Moving to a bigger plan takes effect at once and charges the difference between the two monthly prices; moving to a smaller one takes effect from your next billing date. Extra listings last until your plan next renews. A cancellation takes effect at the end of the month you have paid for, and your plan keeps working until then. If a payment fails we email you and try the card again over the following week; until it is paid, your account is paused.

Some AI features are metered in credits. Credits are reserved when an operation starts and settled when it finishes, and a failed operation releases its reservation rather than charging you for it. A credit price is fixed at the moment the work runs, so a later price change does not restate a job you have already paid for. Credits have no cash value and are not refundable for cash.

Prices on an order are captured at the moment the order is created. Changing your service catalogue later never alters the total of an order that already exists.

Payments you take from your clients

Soldello lets a photographer take payment from their own clients. You may connect your own Square account, in which case those payments settle directly with you and we are not a party to the sale — the contract for the photography is between you and your client, and so is any dispute, refund or chargeback about it.

You are responsible for your own prices, your own tax, and your own compliance with Square’s terms and card network rules. We do not act as your agent, we do not collect on your behalf, and we do not guarantee that any client will pay.

An order is released for clean download only when Square’s signed confirmation is received and the amount matches. A browser returning from a checkout page is treated as a prompt to re-check, never as proof of payment.

Your photographs, and who owns them

You keep your copyright. Photographs, video, floor plans, written copy and everything else you upload or generate in Soldello remain yours. We do not claim ownership of any of it, and we do not sell it, license it to anyone else, or use it to train an AI model.

You grant us a limited licence to host, copy, resize, watermark, transcode, archive and transmit that content — but only so far as running the service requires. Generating a watermarked preview, sending a gallery link, moving a file to cold storage and printing a flyer you ordered are all this licence covers. It ends when the content is deleted, save for backups already taken, which age out on their own schedule.

You confirm that you have the right to upload what you upload — that you own it or are licensed to use it, that you have any property owner’s permission that a shoot requires, and that publishing it will not infringe anyone’s rights.

If you would like us to use one of your images in our own marketing, we will ask you first and you are free to say no.

What the agent receives

Until an order is paid for, a gallery shows watermarked previews only. Once payment is confirmed the gallery releases the clean MLS-sized and full-resolution files.

Payment does not transfer copyright. Unless the photographer has agreed something different with the agent in writing, the photographer keeps the copyright and what the agent receives on payment is a licence to use the images to market that property — the MLS, listing portals, the brokerage’s own advertising, social media, print and a property website. That licence does not extend to reselling the images, licensing them on to a third party, using them for a different property, or using them after the photographer’s own terms say it ends.

The scope of that licence is agreed between the photographer and the agent. Soldello provides the mechanism — the paywall, the delivery, the watermark — and is not a party to it and cannot settle a dispute about it.

Gallery, listing, seller-report and open-house links are unguessable but unauthenticated: anyone holding the link can open the page. Treat them as confidential and do not post them publicly if you do not intend the contents to be public.

AI-generated content

Soldello can write listing copy and captions, tag rooms, and stage or edit photographs using AI. Every one of those outputs is a draft for you to check, not a finished fact.

AI can be confidently wrong about a property. You are responsible for reviewing anything it produces before it is published, and in particular for MLS accuracy rules, fair housing law, and your own MLS’s disclosure requirements for digitally altered images. A virtually staged or AI-edited photograph must be disclosed as such wherever the rules that apply to you require it.

We make no warranty that AI output is accurate, original or fit for any purpose, and we do not warrant that you own it — rights in machine-generated material are unsettled and vary by jurisdiction.

Property data and public records

Soldello looks up property facts from county records and licensed data providers so they do not have to be retyped. Public record is sometimes wrong. We have seen a five-bedroom count returned for a four-bedroom house. Treat every looked-up figure as a draft and verify it before it goes on a listing.

We also hold a copy of the state’s published register of Florida real estate licensees. It is not available to customers: no photographer or agent account can search, list or export it, and it is not part of what you are subscribing to. Accounts you connect

When you connect Google Calendar, Dropbox, Square, Facebook, Instagram or X, you authorise us to act on that account on your instruction, and you remain bound by that provider’s own terms. Each connection is personal to the person who made it. We are not responsible for a provider changing, restricting or withdrawing its service, and a connection failing does not entitle you to a refund.

What you may not do

  • Upload anything you do not have the right to upload, or anything unlawful.
  • Publish content that is discriminatory in violation of fair housing law, or that misrepresents a property.
  • Send unsolicited bulk messages through Soldello, or import a contact list you have no lawful basis to message. A person who signed an open-house sheet without ticking the consent box has not agreed to be marketed to.
  • Attempt to reach another workspace’s data, bypass the payment gate, or defeat a watermark.
  • Scrape, resell or systematically extract data from the platform, or use it to build a competing product.
  • Probe, load-test or interfere with the service, or use it to distribute malware.
  • Share a login. Team members get their own accounts.

Storage, archiving and deletion

Delivered shoots move to colder storage over time, so an older gallery may take from a few minutes to around twelve hours to become downloadable again. Nothing is lost in that move.

Automatic deletion is off unless you switch it on. If you set a retention period, we warn you by email and wait a further 30 days before deleting, and you can mark any order “keep forever” to exempt it. Deletion after that is permanent and we cannot undo it.

Soldello is not a backup service. Keep your own copy of your originals. The local backup tool exists for exactly this, and you should use it.

Availability and beta features

We aim to keep Soldello available and to give notice of planned maintenance, but we do not promise any particular uptime. Features marked beta, or offered free during launch, may change or be withdrawn. Third-party services we depend on can fail, change their terms, or price us out, and when that happens a feature built on them may have to change too.

Suspension and termination

You may cancel your plan at any time under Settings, Plan & billing, or by writing to support@soldello.com. Export your files first.

When a paid plan ends, because you cancelled it or because a payment could not be collected, you can sign in only to restart it. Your client galleries and property sites stay online for 30 days after the plan ends, then go offline. We keep your photos and floor plans for 90 days after the plan ends and then delete them permanently. We email you a week before each of those dates, and restarting your plan before the 90 days are up puts everything back as it was.

We may suspend or close an account that breaches these terms, that goes unpaid, or that is being used in a way that endangers the platform or another customer. Except where a breach is serious or unlawful, we will tell you what the problem is and give you a fair chance to fix it.

If we close an account for any other reason, we will keep your files available for a reasonable period so you can retrieve them, then delete them. Sections 6, 7, 15, 16, 17 and 19 survive termination.

Disclaimers

Soldello is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that property data or AI output will be accurate, or that any file will be recoverable. Nothing here excludes a liability that cannot lawfully be excluded.

Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost business or lost data, even if warned they were possible. Our total liability arising out of or relating to Soldello is limited to the greater of the amount you paid us in the twelve months before the claim arose, or one hundred US dollars. This limit applies however the claim is framed.

Indemnification

You will defend and indemnify us against any claim arising from content you upload or publish through Soldello, from your dealings with your own clients, or from your breach of these terms — including a claim that your content infringes somebody’s rights or that a message sent through the platform on your instruction was unlawful.

Changes to these terms

We may update these terms. The date at the top of this page changes when we do. For a material change we will email account holders before it takes effect, and continuing to use Soldello afterwards means you accept it. If you do not, close your account.

Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and both parties consent to the jurisdiction of those courts. If any provision is held unenforceable, the rest stays in force.
